What a missed report sets in motion

If a report has not arrived within 60 days of its due date the Secretary of State may treat it as delinquent, and a delinquent annual report is a ground for administrative dissolution (G.S. 55-14-20 for corporations). Reinstatement costs $100 plus every report that was skipped.

Professional entities are exempt

Professional corporations under Chapter 55B (G.S. 55-16-22(a2)) and professional LLCs do not file this Secretary of State report; they renew with their licensing board instead.

What the report lists

Registered agent and office, principal office address and phone, principal officers or company officials, and a short business description. If nothing changed you can certify that instead.
